These Terms of Service ("Terms") govern your use of Minitaka (the "Platform"), owned and operated by Orange Wing Technology LLP ("Company," "We," "Us," or "Our"). By accessing or using Our Platform located at www.minitaka.com, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.


1. Definitions

  • "Platform" refers to the Minitaka website (www.minitaka.com), any related subdomains, and any other associated applications and services operated by the Company.
  • "Seller" (also referred to as "Merchant") means any individual or legal entity who registers on the Platform to create an online store and list products or services for sale.
  • "Buyer" means any individual or legal entity who visits or transacts via a Seller's store that is hosted on the Platform.
  • "Services" refers to the software-as-a-service (SaaS) functionality provided by Minitaka, enabling Sellers to set up, customize, and manage online stores.
  • "Subscription" refers to any paid plan a Seller opts into for additional or continued access to the Platform's features.
  • "Prohibited Items" are products or services that violate these Terms, any applicable law, regulation, or public policy.

2. Role of the Company (Minitaka)

  • Facilitator Only: The Company provides a Platform that allows Sellers to create and operate online stores. The Company does not own or sell any products listed by the Sellers, nor do We accept liability for product descriptions, inventory, quality, or shipping.
  • No Direct Involvement in Transactions: All commercial and contractual terms (e.g., pricing, shipping costs, warranties, refunds, exchanges) are offered and agreed upon solely between Buyers and Sellers. The Company does not control, advise, or determine these terms in any way.
  • Disclaimer of Responsibility: The Company does not take possession of any products listed on the Platform at any point in time. Any disputes concerning products or services lie strictly between the Buyer and the Seller.

3. Responsibilities of Sellers (Merchants)

  • Product Listings & Accuracy: Sellers are solely responsible for the content they post (including product descriptions, prices, images) and must ensure accuracy and legality.
  • Compliance with Laws: Sellers must comply with all relevant laws and regulations when listing products and services, including but not limited to consumer protection laws, tax regulations, and any industry-specific rules.
  • Shipping, Refunds & Returns: Sellers must handle all inquiries and requests related to shipping, refunds, returns, and exchanges of their products. Any refund or return policy a Seller adopts must be communicated clearly to Buyers.
  • Customer Support: Sellers are solely responsible for providing customer support to Buyers, including handling complaints, addressing questions, and fulfilling orders.
  • Indemnification: Sellers agree to indemnify and hold the Company harmless for any and all losses, claims, damages, liabilities, costs, and expenses arising out of or related to their use of the Platform and any interactions with Buyers.

4. Responsibilities of Buyers

  • Independent Verification: Buyers must independently verify the identity, credibility, and legitimacy of any Seller, as well as the quality, legality, and suitability of any products or services offered.
  • No Company Liability: The Company shall not be held liable for any product or service sold by a Seller on the Platform, including issues related to delivery, product quality, or refund requests.
  • Compliance with Seller Policies: Buyers agree to abide by any additional terms or policies posted by a Seller on their store (e.g., shipping, returns, refunds), provided such terms do not conflict with these Terms.

5. Prohibited Items and Content

  • Prohibited Listings: Sellers are strictly prohibited from listing or selling any products or services that are illegal, infringe on third-party rights, or violate public policy. This includes, but is not limited to, counterfeit goods, unauthorized digital content, weapons, narcotics, hazardous materials, or any other items restricted by law.
  • Right to Remove: The Company reserves the right to remove or disable any listings that violate these Terms or any applicable laws and regulations. Repeated or serious violations may result in suspension or termination of the Seller's account.

6. Subscription Plans and Payments

The Company offers various Subscription plans to Sellers who wish to access MiniTaka features or capacity for their online stores beyond free trial.

  • Monthly Subscriptions: Monthly Subscription fees are non-refundable. If you cancel a monthly Subscription partway through a billing cycle, no prorated refund will be provided for the remainder of that billing cycle.
  • Yearly Subscriptions: Yearly Subscription fees may be eligible for a partial refund if canceled mid-term. The partial refund will be calculated by deducting the equivalent monthly rate for the time used plus applicable taxes and payment gateway fees. For example:
    • If the yearly Subscription is Rs. 12,000, and the monthly plan costs Rs. 120, then at cancellation in the 6th month, the Seller pays 6 × 120 = Rs. 720 (plus taxes and fees), and the remaining balance may be refunded.
    • If cancellation occurs late in the term (e.g., 11th month) such that monthly charges exceed the upfront yearly cost, no refund will be provided.
  • Processing Time: Refunds (where applicable) are typically processed within 7-15 business days from the date of approval to your original payment method.
  • Changes and Termination: The Company may modify Subscription features, fees, or cancel a Subscription at any time, with or without prior notice. Sellers will be notified of any significant changes, and continuing to use the Platform after changes take effect constitutes acceptance of the new terms.

7. Disclaimers and Warranties

  • "As Is" Basis: The Platform is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times.
  • No Warranties on Products: The Company makes no warranties, expressed or implied, regarding the products or services listed by Sellers, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • No Liability for Third Parties: We are not responsible for the accuracy or reliability of information shared by Sellers or other users, nor do We endorse any opinions expressed by them.

8. Limitation of Liability

  • The Company (including its officers, directors, employees, agents, affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:
    • Your access to or use of, or inability to access or use, the Platform;
    • Any conduct or content of any third party on the Platform, including any defamatory, offensive, or illegal conduct;
    • Unauthorized access, use, or alteration of your transmissions or content;
    • Any other matter relating to the Platform.
  • In no event shall the Company's total liability for all claims exceed the amount paid by you to the Company for use of the Platform during the three (3) months preceding the date the cause of action arose.

9. Termination

  • The Company reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any violation of these Terms or for any other reason deemed appropriate by the Company.
  • Upon termination, your right to use the Platform will immediately cease. Any provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, indemnity, and limitations of liability.

10. Changes to the Terms

The Company may, at its sole discretion, modify or replace these Terms at any time. In the event of material changes, We will make reasonable efforts to provide advance notice via email or by posting a prominent notice on the Platform. Continued use of the Platform after any such changes take effect constitutes your acceptance of the new Terms.


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangalore, Karnataka, India without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
